01 Who we are

ExitMicro is a service operated by GetTrusted Escrow GmbH, a limited liability company registered in Vienna, Austria (Handelsgericht Wien, FN 607629 y), with its registered office at Seitenstettengasse 5/37, 1010 Vienna, Austria ("ExitMicro", "we", "us", "our").

ExitMicro is an information and listing platform. We are not a bank, a payment institution, a licensed escrow provider, a securities broker or dealer, an investment adviser, a tax adviser, or a law firm, and we do not provide banking, payment, investment, legal, tax, or regulated financial services of any kind. We do not hold, transfer, or take custody of any funds belonging to users.

02 No advice & no guarantees

Any business valuation, estimate, range, figure, multiplier, or commentary we provide is a non-binding, informational opinion only. It is not professional, financial, investment, legal, tax, accounting, or appraisal advice, and must not be relied upon as such. It is provided for your general information and should be independently verified.

We make no representation, warranty, or guarantee of any kind that:

• any valuation or figure is accurate, complete, current, or achievable;
• your business will attract any interest, buyer, investor, or offer;
• any sale, transaction, or particular price will occur; or
• any specific result, timeline, or outcome will be reached.

Buying or selling a business is your own decision and your own risk. You should obtain independent professional advice before acting.

03 Form submissions

This section applies whenever you submit any form on this site — including a valuation request, buyer or investor registration, or contact form.

Submitting a form is a request for information only. It does not create any contract, engagement, retainer, fiduciary duty, agency, partnership, or obligation between you and us, and it does not entitle you to any service.

You expressly acknowledge and agree that:

• we are under no obligation to respond, reply, acknowledge, or take any action in relation to your submission;
• we may provide a valuation, decline to provide one, or simply not respond, entirely at our sole discretion and without giving any reason;
• we may decline to list, present, or work with any business or person for any reason or no reason;
• no response time, service level, or quality standard is promised, implied, or guaranteed; and
• any reply we do send remains an informational opinion subject to Section 2.

04 How we use your information

When you submit information about yourself or your business, you agree that we may use, store, and process that information in order to operate and improve our service. In particular, you agree that we may:

• review and analyse your business details to prepare a valuation, write-up, listing, or proposal;
• consult with, and share relevant details with, brokers, M&A partners, advisers, and service providers in order to prepare an offer, assess your business, or facilitate a possible transaction;
• use the information to identify, approach, and introduce potential buyers, investors, clients, or partners; and
• contact you about your submission and about our products and services, including our paid services.

Where your business details are shared for the purposes above, identifying information is kept confidential and listings are presented on an anonymised basis unless you ask us to do otherwise. We do not sell your personal data. The lawful bases for this processing are described in Section 6.

05 Listings & paid services

Listing fees ($19, $49, $149, or as shown at checkout) are one-time fees for catalog placement and the associated presentation and outreach services only. We do not charge any commission, percentage, or success fee on any sale.

Payment of a fee buys placement and the described services for the stated period. It is not a guarantee of interest, a buyer, a sale, or any price. Fees are non-refundable once a listing has gone live, except where a refund is required by applicable law. We are not a party to, and accept no responsibility for, any negotiation, agreement, or transaction between a seller and a buyer; any such dealing is solely between those parties.

06 Privacy & your GDPR rights

The data controller is GetTrusted Escrow GmbH (details in Section 12). We process personal data in accordance with the EU General Data Protection Regulation (GDPR).

What we collect

The information you provide (such as your name, email, country, and business details) and basic technical data needed to run the site.

Lawful bases

We rely on your consent (given when you submit a form), on our legitimate interests in operating the platform, preparing valuations, and finding relevant buyers and investors, and on the performance of a contract where you purchase a listing.

Your rights

Under the GDPR you have the right to access, rectify, restrict, port, and object to the processing of your personal data, and to withdraw consent at any time.

Retention & transfers

We keep personal data only as long as needed for the purposes above or as required by law. Where data is shared with partners outside the EEA, we use appropriate safeguards. We do not sell personal data to third parties.

Complaints

You have the right to lodge a complaint with a supervisory authority — in Austria, the Datenschutzbehörde (dsb.gv.at).

07 Marketing & communications

By submitting a form you agree that we may contact you by email about your submission and to offer you our services, including paid services. You can opt out of marketing messages at any time using the unsubscribe link in any email or by contacting us. Opting out of marketing does not affect messages necessary to handle a request you have made.

08 Limitation of liability

The site, the catalog, and all valuations and content are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

To the maximum extent permitted by applicable law, we are not liable for any loss or damage — including lost profits, lost opportunities, or indirect or consequential loss — arising from: your use of (or inability to use) the site; any valuation, estimate, or content; any decision you make in reliance on it; any failure or delay in responding to a submission; or any dealing, negotiation, or transaction between users.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or any statutory rights that mandatorily apply to consumers.

09 No professional or fiduciary relationship

Using the site, requesting a valuation, or corresponding with us does not create any advisory, brokerage, agency, fiduciary, or client relationship between you and ExitMicro or any of its people. We act only as an information and listing platform.

10 Governing law & jurisdiction

These terms are governed by the laws of Austria, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Vienna, Austria shall have jurisdiction, save that where you are a consumer, you retain the protection of any mandatory provisions and the courts of your place of residence as required by applicable law.

11 Changes to these terms

We may update these terms from time to time. The "last updated" date shows the current version. Material changes will be posted on this page, and your continued use of the site after changes take effect constitutes acceptance of the updated terms.
